1. Introduction
Welcome to Tryzent Technologies Private Limited ("Tryzent", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website https://www.tryzent.com ("Site") and any products, software, platforms, or professional services we provide (collectively, the "Services"). By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
2. Scope & Definitions
"Client" refers to any individual or organization engaging Tryzent for IT consulting, software development, or AI services.
"Deliverables" mean work products or outcomes developed by Tryzent under a project or engagement.
"Client Materials" refer to any data, documentation, or intellectual property provided by the client for project purposes.
"Platform" refers to any Tryzent-developed software or hosted solution offered as part of its SaaS or AI product portfolio.
3. Use of Services
You agree to use our Services and website only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:
- Attempt to gain unauthorized access to any Tryzent system or network.
- Reverse engineer, copy, or resell any portion of our proprietary software without written consent.
- Upload or transmit content that is unlawful, harmful, or infringes on the rights of others.
4. Engagements & Deliverables
Each client engagement is governed by a separate Statement of Work (SOW), Work Order, or Project Agreement defining the scope, deliverables, and commercial terms. In the event of a conflict between these Terms and a signed agreement, the signed agreement prevails. Unless otherwise agreed:
- Tryzent retains ownership of all reusable components, tools, and frameworks developed independently of the project.
- Clients retain ownership of project-specific deliverables and their own data.
- Tryzent grants clients a non-exclusive, perpetual license to use deliverables for their internal business purposes.
5. Data Protection & Confidentiality
We respect your privacy and handle all client data as confidential.
- Tryzent implements organizational and technical controls aligned with industry frameworks such as ISO 27001 and SOC 2. Our cloud providers (Microsoft Azure, AWS, GCP) hold these certifications.
- All project and client data are stored on secure platforms such as Microsoft Azure, AWS, GCP, Microsoft 365, and GitHub with encryption at rest and in transit.
- Tryzent employees and contractors are bound by confidentiality agreements.
- Any disclosure of client data to third-party subcontractors (if required) will be under equivalent confidentiality and data protection obligations.
- Where Tryzent processes personal data on behalf of a client, the parties will execute a Data Processing Agreement (DPA) reflecting the requirements of applicable data protection laws.

6. Data Residency and Transfers
Client data may be processed or stored in multiple geographic regions, including India and the United States.
If hosting in a specific region is contractually required (for example, U.S.-resident data in U.S. data centers), Tryzent will comply with that requirement.
International transfers will be protected using recognized legal mechanisms such as Standard Contractual Clauses (SCCs) or equivalent safeguards.
7. Security & Incident Notification
We maintain strong security measures, including:
- Multi-Factor Authentication (MFA) for internal and cloud systems.
- Access control and least-privilege enforcement.
- Regular system patching and monitoring.
In the event of a confirmed security incident affecting client data, we will promptly notify affected clients with available details and support remediation efforts.
8. Service Continuity
Tryzent leverages Microsoft Azure, AWS, GCP and related infrastructure for service continuity and disaster recovery.
Regular backup and restoration testing ensures data resiliency and minimal downtime during incidents.
Project-specific Business Continuity and Disaster Recovery Plans (BCDRP) are defined as part of client engagements when applicable.
9. Intellectual Property Rights
a) Tryzent IP
All pre-existing tools, frameworks, processes, and AI models developed by Tryzent remain the sole property of Tryzent.
b) Client IP
All data, content, and materials provided by the client remain the client's property.
c) Deliverables
Unless otherwise stated in a written agreement:
- Clients receive a perpetual, worldwide, royalty-free license to use the deliverables for their business purposes.
- Tryzent may reuse generic components, tools, and anonymized, aggregated learnings from projects to enhance its services, provided no confidential or identifying client data is included. Tryzent does not use client confidential data to train AI models made available to other customers.
10. Subcontracting
Tryzent may engage approved subcontractors or affiliates for specialized tasks (e.g., cloud hosting, testing, or AI modeling).
Such subcontractors are bound by confidentiality and security requirements equivalent to those of Tryzent.
11. Payment Terms
All fees, payment schedules, and commercial conditions are specified in the corresponding SOW or project agreement.
Invoices are payable within the period specified unless otherwise agreed in writing.
12. Limitation of Liability
To the fullest extent permitted by law:
- Tryzent's total liability for any claim arising from these Terms or the Services shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim.
- Tryzent shall not be liable for any indirect, consequential, or special damages, including loss of profits, data, or goodwill.
13. Warranties & Disclaimers
Tryzent warrants that Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards.
Except as expressly stated in these Terms or a signed agreement, the Site and Services are provided "as is" and "as available", and Tryzent disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
AI-generated outputs are probabilistic by nature. Clients are responsible for reviewing and validating deliverables and AI outputs before relying on them for business decisions.
14. Indemnification
Each party shall indemnify and hold the other harmless against third-party claims arising from its breach of these Terms, violation of applicable law, or infringement of third-party intellectual property rights, subject to the limitations set out in Section 12.
15. Force Majeure
Neither party shall be liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, or internet and utility failures. The affected party shall notify the other and use reasonable efforts to resume performance.
16. Termination & Data Return
Either party may terminate the engagement per the governing project agreement.
Upon termination:
- Tryzent will, upon request, return or securely delete client data within 30 days (subject to legal retention requirements).
- Archived backups may be retained for up to 90 days solely for disaster recovery purposes.
17. Third-Party Links
Our website may contain links to third-party websites. Tryzent is not responsible for their content, security, or privacy practices.
18. Compliance & Audit
Tryzent follows recognized frameworks (ISO 27001, CIS Controls) for internal governance.
Upon reasonable request, clients may obtain a summary of Tryzent's current security posture or audit results under NDA.
19. Governing Law & Dispute Resolution
These Terms are governed by the laws of India.
Any dispute shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, seated in New Delhi, India.
20. Updates to Terms
We may modify these Terms periodically to reflect changes in our business or legal obligations.
The updated version will be posted at https://www.tryzent.com/terms with a new "Last Updated" date. Continued use of the Site or Services indicates acceptance of the revised Terms.
